The MyMadix Customer Portal

Madix offers a customer self-service portal at mymadix.madixinc.com (the “MyMadix Portal”) that allows registered customers to view order status, shipment and carrier tracking information, and related account information. To register for the MyMadix Portal, you must provide the registration information described in our Privacy Policy, including your Madix account number and login credentials. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, and you agree to notify us promptly of any unauthorized use of your account.

Information available through the MyMadix Portal, including order amounts, costs, and shipment details, relates to your commercial dealings with Madix and is subject to the license and restrictions on use described above. You may not use the MyMadix Portal to access, view, or attempt to access or view information regarding any other customer’s account or shipments, except as expressly permitted under the Terms and Conditions Specific to Madix Website Use by Freight Forwarders below.

Madix makes no representation whatsoever regarding the content of any other websites which you may access from this website, or any third-party content embedded within this website. When you access a non-Madix website, or interact with third-party content embedded on this website, please understand that it is independent from Madix and that Madix has no control over the content on that website or of that embedded content. Dispute Resolution: Binding Arbitration and Class Action Waiver

Agreement to Arbitrate. You and Madix agree that any dispute, claim, or controversy arising out of or relating to these Terms and Conditions, your access to or use of the website or the MyMadix Portal, or the relationship between you and Madix (a “Dispute”) will be resolved by binding individual arbitration, except that either party may bring an individual action in small claims court, and either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party’s intellectual property or confidential information. This Dispute Resolution section does not apply to, and does not require arbitration of, any request to exercise rights under the California Consumer Privacy Act, the California Privacy Rights Act, the Texas Data Privacy and Security Act, or other applicable state privacy law, as described in our Privacy Policy; any such request will be handled as described in the Privacy Policy, not under this section.

Informal Resolution First. Before starting an arbitration, you and Madix each agree to first contact the other party and attempt in good faith to negotiate an informal resolution for at least thirty (30) days. You may contact Madix using the information in the General Provisions section below.

Arbitration Rules and Mass Arbitration Procedures. Any arbitration will be administered by the American Arbitration Association (“AAA”) or JAMS under their respective consumer arbitration rules then in effect. If ten (10) or more similar arbitration demands are filed against Madix by the same or coordinated counsel within a short period of time, the parties agree that the AAA Mass Arbitration Supplementary Rules or the JAMS Mass Arbitration Procedures and Guidelines, as applicable, and the corresponding mass-arbitration fee schedule, will govern the administration and fees of those proceedings.

Class Action and Jury Trial Waiver. You and Madix each agree that any Dispute will be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. You and Madix each waive any right to a jury trial with respect to any Dispute.

Severability of this Section. If any part of this Dispute Resolution section is found to be unenforceable, the remainder will remain in force, except that if the Class Action and Jury Trial Waiver is found unenforceable as to a particular Dispute, the entire Dispute Resolution section (but not the remainder of these Terms and Conditions) will not apply to that Dispute, and that Dispute will be resolved as set out in the Governing Law and Venue section below.

Governing Law and Venue

By visiting the website, you agree that the laws of the state of Texas, without regard to principles of conflict of laws, will govern these Terms and Conditions and any Dispute not subject to arbitration under the Dispute Resolution section above. You and Madix agree that any Dispute not subject to arbitration will be brought exclusively in the state or federal courts located in Kaufman County, Texas, and you and Madix each consent to the personal jurisdiction of those courts.

Restricted Activities

Concurrent with your access of the website, you shall not engage in any activity which may: (a) be false, inaccurate or misleading; (b) be fraudulent; (c) infringe any third party’s copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy; (d) be defamatory, trade libelous, unlawfully threatening or unlawfully harassing; (e) be obscene; (f) contain any viruses, Trojan horses, worms, time bombs, cancelbots, easter eggs or other computer programming routines that may damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or information; or (g) create liability for us or cause us to lose (in whole or in part) the services of our ISPs or other suppliers.

Confidential Information

As used in these Terms and Conditions, “Confidential Information” means non-public information you access through the website or the MyMadix Portal regarding Madix’s business or the business of Madix’s employees, customers (actual or prospective), vendors, contractors, or other third parties, that comes within your knowledge, or the knowledge of your officers or employees, in the performance of these Terms and Conditions. You agree to maintain the confidentiality of all Confidential Information and not to disclose it to any other person, including any governmental agency or other third party, without Madix’s prior written consent, except that you may disclose Confidential Information to the extent required by law, subpoena, or a court or regulatory order, provided you give Madix reasonable advance notice where legally permitted to do so. Confidential Information does not include information that is or becomes publicly available through no fault of yours, was already known to you without an obligation of confidentiality before you received it from Madix, or is independently developed by you without reference to or use of the Confidential Information.

Terms and Conditions Specific to Madix Website Use by Freight Forwarders

The following additional Terms and Conditions apply to freight forwarders (the “Forwarders”) who utilize Madix’s web-based tools to track orders made by customers of Madix (“Customers”) with whom the Forwarders have agreements to track Customer shipments via this website. Forwarders are the “third-party agents” described in our Privacy Policy. As described there, all Forwarder registration requests for the MyMadix Portal are reviewed and approved manually by Madix before access is granted.

Forwarders using this website are additionally prohibited from (a) accessing or viewing any Customer information with whom they do not have express consent to and responsibility for shipments to be viewed by the Forwarder, (b) using any information on the website for purposes of soliciting Customers, or (c) viewing or otherwise using information on the website to view shipments with which they have no commercial obligation as a Forwarder.

Termination

We may take any of the following actions with respect to your access to all or part of the website or the MyMadix Portal at any time, with or without cause and with or without notice, including immediately revoking your access, issuing a warning, temporarily or indefinitely suspending your access, terminating your access, or refusing to provide our services to you. The provisions of these Terms and Conditions that by their nature should survive termination, including without limitation the license restrictions and Confidential Information obligations described above, and the Indemnification, Disclaimer of Warranties and Limitation of Liability, Dispute Resolution, and Governing Law and Venue sections, will survive any termination of your access.

General Provisions

Entire Agreement. These Terms and Conditions, together with the Privacy Policy and any additional terms referenced herein, constitute the entire agreement between you and Madix regarding your use of the website and the MyMadix Portal, and supersede any prior agreements between you and Madix on that subject.

Severability. If any provision of these Terms and Conditions is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

No Waiver. Madix’s failure to enforce any provision of these Terms and Conditions will not be deemed a waiver of that or any other provision.

Assignment. You may not assign or transfer these Terms and Conditions, by operation of law or otherwise, without Madix’s prior written consent. Madix may assign these Terms and Conditions without restriction.
